Yingchuang Sanzheng (Yingkou) Fine Chemical Co., Ltd. (hereinafter referred to as "Yingchuang Sanzheng") formulated this "Employee Code of Conduct" to prevent or reduce losses, detect and correct violations as soon as possible, and ensure that the company's operating activities comply Statutory organization rules and regulations.
This "Employee Code of Conduct" summarizes the most important principles and standards of the three innovations of Yingchuang, which all our employees must understand. And this "Employee Code of Conduct" also summarizes the basic ethical and legal standards that Yingchuang Sanzheng employees should bear. Observance of these standards will ensure that our employees can perform their professional duties within a safe range.
In addition to complying with statutory rules and regulations, Yingchuang Sanzheng also requires employees to adhere to higher ethical standards. These codes of ethics are based on the company's values, principles, and personnel management model.They will also regulate our behavior in dealing with internal relations of the company and external relations with business partners and public institutions.
Every employee has a responsibility to adhere to the “Employee Code of Conduct”, and management should support and act as an example for compliance. Compliance is a means to maintain the reputation of the company and its employees by building trust. Compliance will build a corporate culture of mutual trust, dependence and integrity in the company.
The code of conduct can be further understood as company policy, and all departments and workshops have the power to issue specific rules and regulations, and the supervisor has the responsibility to ensure that his subordinates can receive updated company policies and specific rules and regulations formulated by the department.
Chapter I Business Conduct
(1) Management of commercial transactions
Article 1 All business activities and procedures of the company must comply with all laws, self-regulatory obligations and binding rules applicable to the company's activities. No employee shall issue instructions in business activities that violate these principles and will result in a violation of company policy.
Article 2 Prior to taking any action that may violate applicable laws and codes, prior internal legal consultation is extremely necessary to avoid risks.
Article 3 The company strictly prohibits any form of bribery or attempted bribery by providing or accepting money or valuables.
Article 4 Only when gifts, favors, courtesies, and other special treatments do not exceed the limits of local representative business practices, the value is within reasonable and appropriate limits, and it should not be considered too high as a bribe. Provide or accept gifts, favors, courtesies, and other special treatments to the extent permitted.
If in doubt, employees must first seek approval from their supervisor.
Article 5 Employees are prohibited from using company resources for personal gain. Exceptions to this principle must be approved in advance by the competent director or specified in the work agreement and the agreement reached between the employer and the employee.
Article 6 All expense receipts, accounting documents, financial statements, research reports, sales reports, environmental and safety reports and other company documents must clearly, timely and accurately reflect the nature of relevant facts and / or transactions. All relevant employees have the responsibility to cooperate fully with the auditor's work with the participation of the department responsible for financial statements and auditing, and must not conceal any necessary information.
Article 7 Only persons with clear authorization can make formal statements on behalf of Yingchuang Sanzheng, especially statements to the media.
(2) Commercial relations
Article 8 We must treat all business partners equally and fairly.
The selection of suppliers and service providers must follow procedures based on objective and comprehensive criteria. Where possible, multiple quotations must be obtained for selection before signing the contract. To this end, consideration must be given to the fact that business partners are expected to meet requirements that match the principles contained in this Code of Conduct.
Article 9 Typical commercial promotion methods include commissions, rebates, discounts, free shipping and other similar promotional measures. The use of these promotional measures must be done with great care to ensure compliance with relevant legal requirements. A complete and accurate record of the commercial promotion measures used must be made.
Article 10 The company must pay the relevant payment to the contracting party for the goods or services received as soon as possible. Generally, payment in cash or in whole is not allowed unless the amount involved is extremely small.
(3) Conflicts of interest
Article 11 Yingchuang Sanzheng supports employees to assume responsibilities in youth organizations, adult education institutions, sports associations, charities, churches and cultural institutions, even if employees receive appropriate compensation / compensation through these organizations Allowed. However, under no circumstances should the secondary occupation affect employees to do their best to do their job. Unless the workload of the employee's second occupation is negligible, in any case, the employee must notify his direct supervisor or human resources department in advance in the second occupation.
Article 12 An employee or a third party represented by the employee, including family members and immediate family members of the employee, may not conduct business that is related to or conflicts with the company's interests. If an employee or a close relative of the employee holds or works for a substantial economic interest in a competitor, customer, or supplier of Innolux, the employee must report to the Chief Supervisor and the Human Resources Department.
Article 13 Generally, business transactions with relatives of employees are not allowed, and certain transactions can be conducted with the approval of the company's board of directors. In such cases, it must be ensured that the employees involved are not involved in the decision-making process. Close relatives include children, parents, siblings, and partners living with employees.
Article 14 All operating and business information of a company that has not been disclosed to the public shall be kept confidential, and shall not be disclosed to unauthorized third parties during or after the employee's employment.
The use of confidential business information, directly or indirectly, for the benefit of the private or unauthorized third parties, or for the benefit of CRE is prohibited during or after the employee's employment.
Yingchuang Sanzheng is obliged to do everything possible to prevent the leakage of confidential data to unauthorized third parties in accordance with the existing rules.
Article 15 The employees of Yingchuang Sanzheng shall treat each other equally and respect each other. In all business activities, employees must respect the rights, nationality and culture of those with whom the company does business. Do not discriminate against current employees, potential employees or business partners based on race, gender, religion, philosophical perspective, disability, age, etc. Harassment of employees or business partners in any form is strictly prohibited.
Article 16 A basic principle of company policy is that all members comply with relevant antitrust laws in their operations.
Article 17: The Three Entrepreneurs and Camps fully support all efforts made by the international community to prevent the production and proliferation of chemical, biological, and nuclear weapons, including launch systems. Therefore, Yingchuang Sanzheng will comply with all current foreign trade and customs regulations.
Article 18 Yingchuang Sanzheng promises to abide by all applicable tax laws and regulations. Employees must not support business partners' requests to reduce their personal tax liability.
Article 19: Protecting the safety and health of manpower, protecting the environment, and rational use of natural resources are the basic principles of the three ventures in conducting business activities. Based on legal norms and the principle of self-discipline, Yingchuang Sanzheng will strive to continuously improve its performance and management system.
Article 20 The serious treatment of personnel-related information has always been regarded as an important reflection of respect for personal privacy. The right of employees and business partners to decide which personal information is public should always be respected. The unauthorized collection, processing, use or distribution of personal data of employees and business partners is prohibited.
Article 21 The employees of Yingchuang Sanzheng must carefully use the IT system and the data contained in the system to avoid information leakage.
(IV) Specific implementation
Article 22 If all employees are aware of any violation of the Employee Code of Conduct, they should report it to their supervisor.
Article 23 Violation of the Code of Conduct for Employees will result in disciplinary action and penalties will be imposed in accordance with current national laws, regional labor laws, and company regulations.
Article 24 The company will provide special training for special target groups, such as training on environmental protection, safety and occupational health issues, etc. Participation in training may be mandatory. Attendance will be recorded during the training.
Chapter II Employee Code of Conduct
Article 25. Employees should take the initiative to give seats to older employees, company guests and pregnant women on the commuter bus; loud noises are not allowed in the commuter bus, and food shells and skins are strictly prohibited to be thrown inside and outside the commuter bus. Anyone who violates the above provisions will be fined 50 yuan each time depending on the circumstances. Smoking is strictly prohibited in the commuter car. Violators are fined 100 yuan each time they are found.
Article 26 A commuter car must arrive at the company's south gate according to the prescribed time. If it cannot arrive within the prescribed time, a fine of 1 yuan for the number of employees on board and the number of late minutes multiplied will be charged for each occurrence. The commuter car must arrive at the stations set by the company according to the prescribed time. If the employee arrives in advance and leaves the commuter car, the hire car company shall bear the cost of the taxi; if the commuter car arrives at the prescribed station more than 5 minutes late Above, each time the car rental company is fined 100-200 yuan.
Article 27. Employees at work must change their work clothes and wear labor protection equipment to enter the work place 5 minutes in advance, and employees at work must leave the work place at the prescribed time. Article 28 Employees are forbidden to work together, sleepless, leave, work privately, chat, play chess, play poker, play games, and drink during working hours. It is forbidden to conduct non-work-related online chat, browsing and work-unrelated work. Websites and newspapers and magazines that are not subscribed to by the company are prohibited. Anyone who violates the above regulations will be fined 100-200 yuan or expelled immediately upon discovery.
Article 29 Employees are strictly prohibited from smoking in the factory area, it is strictly forbidden to bring smoke, fire (matches, lighters) into the factory area; it is strictly forbidden to fight, to publicly insult and abuse the leaders and colleagues, and to steal company property. Anyone who violates the above provisions will be expelled immediately upon discovery.
Article 30 If a cigarette butt is found in the workshop, but the smoker cannot be identified, the team or section in the area shall bear responsibility, and one cigarette butt will be fined 50 yuan as the monitor, and will be superimposed one after the other. For the four cigarette butts and below, the workshop chief and deputy director and section manager will each be fined 50 yuan; for the five cigarette butts and above, the workshop chief and deputy director and section manager will be fined 100 yuan each. Article 31 Employees shall not be late and leave early. Violators will be fined 50 yuan once. If they are late and leave early, they will be fired 5 times a month and 15 times a year.
Article 32 Employees shall not be absent from work. Violators shall be fined 100 yuan per class of absenteeism. 3 consecutive absenteeisms or 5 absenteeisms in a year will be dismissed.
Article 33 Out-of-office employees shall return to the company on time according to the approval time. If they cannot return on time, they shall apply to the approval leader in advance. Do not take advantage of out-of-office opportunities for private affairs. Once found, the fine was 100 yuan each time.
Article 34 Employees shall not meet with non-public guests privately during working hours. Anyone who violates the above provisions shall be fined 50 yuan each time.
Article 35 Employees (middle level and below) who leave the company to work during working hours shall hold an exit permit issued by the department head or related leaders. Forcibly leaving the factory without a permit to leave the factory will be fined 50 yuan each time; if the employee fails to hold the permit to leave the factory and the doorman will not be registered for investigation, he will be fined 50 yuan once.
Article 36 Employees who are passively idle, or who have obviously resisted the company's normal production, operation and management activities that do not violate national laws and regulations and industry norms, and cause adverse effects on employees, shall be removed from their posts or fired according to circumstances. . Employees who have plagiarized in the theoretical examination organized by the company are fired if they are found on the spot by invigilators or through surveillance cameras. Evidence shows that employees deliberately hand in blank papers or deliberately pass negative answers to lower the test scores in the theoretical examination organized by the company and be fired.
Article 37 If an employee is unable to go to work on the day of illness, he should call the department head in advance and get approval before going to work. If the illness is serious and I cannot take the leave in person, the relatives (the relatives who are not in Yingkou City can be replaced by friends or colleagues) on the phone to ask for leave and obtain approval. Call for sick leave no more than once a month and no more than two days per approval. Employees' leave of absence of two days or less shall be approved by the workshop director or department manager. Violators of the above provisions will be fined 50 yuan each time as a plot or as absenteeism.
Article 38. Employees who need to take sick leave (three days or more) after getting sick must get approval from the director of the department. When you take leave, you should apply to the company's health center with the diagnosis issued by the visiting hospital (if you need to use X-ray, CT, color ultrasound and other auxiliary methods to accurately confirm the condition, you must provide the original evidence above and the computer-generated diagnosis) According to the hospital's diagnosis and the judgment of the actual condition, the health clinic will propose the final leave days and submit it to the ESHQ director for approval. The recommended number of vacation days per employee diagnosis should not exceed two weeks. Otherwise, the health clinic will not accept (except for major diseases listed in the country), and the number of vacation days approved by the health clinic at one time should not exceed two weeks. The company does not recognize or approve sick leave due to violation of national laws and regulations. Employees who take sick leave in violation of the above regulations shall be treated as absentees and the absentee time shall be calculated on a daily basis.
Employees who cheat on the issue of sick leave will be dismissed as soon as they are discovered, and deducted the wages previously paid.
Article 39: Employees are on vacation due to illness. According to the non-work-related injury medical period, after the leave is over three months, a rehabilitation certificate shall be issued by the health clinic, and the human resources department shall go through the formalities of returning to work. Anyone who violates the regulations is found to be fined 100 yuan for the head of the employing department and re-performed the relevant procedures.
Article 40 Employees shall strictly abide by the time and attendance system. For those who neglect their duties or falsify time and attendance, each time they are found, they may be fined 50-100 yuan, transferred from their jobs, or directly fired. No matter how the department head deducts employees' wages, bonuses, and benefits, they will be expelled immediately upon verification.
Article 41. Company employees are not allowed to dye strange-colored headdresses in the factory area, open their chests, show their backs, and wear strong makeup. Employees should take care of the public bicycles (three wheels) in the factory, and wipe and maintain them frequently. Those who were suspended due to poor management were found to be fined 50 yuan for the head of the department.
Article 44 Employees shall go to the cafeteria to eat at the prescribed time. Those who eat in advance will find a fine of 50 yuan.
Article 45 Employees shall pay attention to hygiene during meals and shall not waste food. Violators were found to be fined 50 yuan at a time.
Article 46 Employees shall not use public money for personal gain or accept bribes in the course of their work. Upon discovery, he was expelled immediately and the offenders were referred to the judicial organs.
Article 47 When entering the toilet and bathing place, employees shall abide by the corresponding management system. Violators found a fine of 50--100 yuan.
Article 48 For employees who defecate anywhere, they are found to be fined 100 yuan at a time.
Article 49 Employees shall take care of the company's greening facilities and shall not destroy or trample them at will. Violators found a fine of 50--100 yuan.
Article 50: No direct access to the company's general manager and deputy general manager's office without prior appointment will interfere with normal office operations. Violators are fined 50 yuan each time.

Article 57 Employees are strictly prohibited from bringing flammable and explosive materials into the factory. If it is brought into the factory by mistake, it must be handed over to the ESH department. Violators of the above provisions will be fined 50-200 yuan or fired depending on the circumstances.
Article 58 Employees must obey leaders and obey orders (except illegal commands) during work. Violators will be fined 50-100 yuan or fired depending on the circumstances.
Article 59 The idlers in important parts of the factory are exempt from entering. Article 65 If the employee himself or his or her near and / or distant relatives hold substantial economic interests or work for a competitor, customer or supplier of Innolux, there is no evidence that the employee has reported to the supervisor Director and Human Resources Report. Article 73 Employees who have continuously violated the Employee Code of Conduct or the relevant rules and regulations of the company within a short period of time (limited to one quarter) shall be fired in accordance with the principle of repeated offenses.

Chapter III Implementation and Inspection

Article 76 The right to investigate and deal with violations of the “Code of Conduct for Employees”: If it is directly related to environmental protection, safety, security and employee occupational health, the ESH department will take the lead in handling it; other situations will be handled by the Human Resources Department. The final execution of the fine is the responsibility of the Human Resources Department.
Article 77 Events and behaviors that occurred before the publication of this "Guideline" but have not yet been processed, and events and behaviors that occurred after the publication of this Standard shall be handled in accordance with this "Guideline". Events and actions that have occurred and been processed before the release of this "Guideline" are no longer traceable.
Article 78. The interpretation of this "Guideline" is vested in the company's human resources department.
